2. The service
The Provider grants the Customer a non-exclusive, non-transferable right to access and use the TruckerPro transportation management platform for the Customer's internal business operations, for as long as this Agreement is in effect and the Customer's account is in good standing.
3. Commercial terms as at the effective date

The figures above record the plan and rate in effect on the effective date of this Agreement. They are a record of what was agreed on that date and are not a fixed price for the term. Rates may change on notice in accordance with the Terms of Service incorporated below; a rate change does not require this Agreement to be signed again.
Amounts are exclusive of applicable Canadian federal and provincial taxes, which are charged in addition at the rates in force at the time of invoicing.
4. Payment authorization
The Customer authorises the Provider to charge the payment method held on file for the amounts described in section 3, on the billing schedule stated above, for as long as this Agreement is in effect. This authorisation covers recurring subscription charges and any usage or add-on charges incurred under the Customer's account.
The Customer may revoke this authorisation at any time by giving the Provider written notice, subject to the notice period in section 7. Revoking the authorisation does not discharge amounts already incurred. The Customer confirms it is authorised to permit charges against the payment method provided.
5. Documents incorporated by reference
The following documents form part of this Agreement and are binding on both parties. Each is identified below by version and by the SHA-256 digest of its published text, so the exact wording agreed to on this date can be reproduced and verified at any time.

Where this Agreement and an incorporated document conflict, this Agreement governs as to the parties and the commercial terms, and the Terms of Service govern as to use of the platform.
6. Personal information
Each party will handle personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. The Provider's handling of personal information is described in the Privacy Policy incorporated above.
7. Term and termination
This Agreement takes effect on the effective date and continues until terminated. Either party may terminate on thirty (30) days' written notice. The Provider may suspend or terminate immediately for non-payment or for use of the platform in breach of the Terms of Service.
8. Governing law and disputes
This Agreement is governed by the laws of the Province of Manitoba and the federal laws of Canada applicable in it.
Disputes are resolved under the Dispute Resolution provisions of the Terms of Service incorporated in section 5. Those provisions require the parties to attempt informal resolution first, and they name the forum — the courts of Manitoba, or, for customers located in the United States, arbitration. They apply in place of any different forum that might otherwise be read into this Agreement, so that a single dispute cannot be subject to two conflicting procedures.
9. Electronic signature
The parties agree that this Agreement may be signed electronically and that an electronic signature has the same legal effect as a handwritten one under applicable federal and provincial electronic-commerce legislation, including Manitoba's Electronic Commerce and Information Act. The signatory below confirms they are authorised to enter into this Agreement on behalf of the Customer.
